1. Introduction and Acceptance

Welcome to BVM (Bold Vision MultiTech) Ltd. ("BVM", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of all BVM properties, platforms, and services, including:

• BVM Website: Our corporate website at b-vm.com
• AscendSME Platform: Our flagship SME growth platform at ascendsme.africa
• BVM Digital: Our digital services subsidiary providing web development, marketing, and technical solutions

By accessing or using any BVM property, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. If you are using our services on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Definitions

• "Account" means any account you create to access BVM services.
• "BVM Properties" means all websites, platforms, applications, and services owned or operated by BVM.
• "Content" means any information, data, text, graphics, images, or other materials uploaded, submitted, or displayed on any BVM Property.
• "Digital Services" means web development, digital marketing, and technical consulting services provided by BVM Digital.
• "Platform Services" means the AscendSME platform features including diagnostics, guided support, and marketplace access.
• "Services" means all features, tools, and functionalities provided through any BVM Property.
• "User" or "you" means any individual or entity accessing or using any BVM Property.

3. Eligibility

To use BVM services, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction.
• Have the legal authority to enter into binding contracts.
• Not be barred from using our services under applicable law.
• Provide accurate, current, and complete information when required.

For AscendSME Platform specifically, you must also be a registered business entity or sole proprietor operating within Ghana or other supported African countries.

4. Account Registration and Security

To access certain features of our services, you may need to create an Account. You agree to:

• Provide accurate, truthful, and complete registration information.
• Maintain and promptly update your Account information.
• Keep your login credentials confidential and secure.
• Immediately notify us of any unauthorized access or use of your Account.
• Accept responsibility for all activities that occur under your Account.

We reserve the right to suspend or terminate your Account if any information provided is inaccurate, false, or incomplete, or if we suspect unauthorized or fraudulent activity.

7. User Obligations and Conduct

By using any BVM Property, you agree to:

• Comply with all applicable laws, regulations, and these Terms.
• Provide accurate and truthful information.
• Engage constructively with BVM representatives.
• Maintain confidentiality of any proprietary information shared.
• Not misuse or attempt to deceive any BVM systems.

You agree NOT to:

• Use BVM Properties for any unlawful, fraudulent, or malicious purpose.
• Impersonate any person or entity or misrepresent your affiliation.
• Interfere with or disrupt any BVM Property or its servers.
• Attempt to gain unauthorized access to any part of our services.
• Upload or transmit viruses, malware, or other harmful code.
• Harvest or collect user information without consent.

8. Fees and Payment

Certain BVM services require payment. By subscribing to or purchasing paid services, you agree to:

• Pay all applicable fees as specified at the time of purchase or subscription.
• Provide valid and current payment information.
• Authorize us to charge your designated payment method.

Payment terms for BVM Digital projects are specified in individual service agreements. AscendSME platform fees are as published on the platform. All fees are non-refundable unless otherwise stated or required by law.

9. Intellectual Property Rights

All BVM Properties and their contents, features, and functionality are owned by BVM (Bold Vision MultiTech) Ltd. and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use BVM Properties for their intended purposes, subject to these Terms. You may not:

• Reproduce, distribute, modify, or create derivative works without permission.
• Reverse engineer, decompile, or disassemble any part of our services.
• Remove or alter any proprietary notices or labels.
• Use our trademarks, logos, or branding without written permission.

10. User Content and Data

You retain ownership of all Content you submit to BVM Properties. By submitting Content, you grant BVM a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and display such Content for providing and improving our services.

You represent and warrant that:

• You own or have the necessary rights to submit the Content.
• The Content does not infringe any third-party rights.
• The Content is accurate and not misleading.
• The Content does not violate any applicable law or regulation.

11. Third-Party Services and Partners

BVM Properties may contain links to or integrate with third-party services, including financial institutions, marketplace partners, and service providers. We do not control and are not responsible for the content, policies, or practices of any third-party services.

Your use of third-party services is subject to their respective terms and conditions. BVM is not liable for any loss or damage arising from your interactions with third parties.

12. Disclaimers

BVM PROPERTIES AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• Our services will be uninterrupted, secure, or error-free.
• Results obtained from our services will be accurate or reliable.
• Any defects will be corrected.
• Assessments or diagnostics will guarantee specific outcomes.
• Funding or investment opportunities will be secured.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BVM (BOLD VISION MULTITECH) LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless BVM (Bold Vision MultiTech) Ltd. and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or connected with:

• Your access to or use of any BVM Property.
• Your violation of these Terms.
• Your violation of any third-party right, including intellectual property rights.
• Any Content you submit.

15. Termination

We may terminate or suspend your access to any BVM Property immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the affected services will immediately cease.
• We may delete or archive your Account and associated data.
• Any provisions that should survive termination shall remain in effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Accra, Ghana, in accordance with the Alternative Dispute Resolution Act, 2010 (Act 798).

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of any BVM Property after changes become effective constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

19. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and BVM regarding the use of our services and supersede all prior agreements and understandings.
